税率の違いがあるんでまず税率の解説から
したいと思いますはいまず所得税もこれは
ね何度も紹介してますけど所得税の税率は
累進課税ですね所得が上がれば上がるほど
税率がどんどんどんどん上がっていくと
これ住民税も含めてと思ってくださいはい
住民税も含めて最低15%から所得が
どんどんどんどん増えていくと最高55%
半分以上が税金で取られちゃうというね
まあこういうとんでもない
とんでもない構造になってるとそれに対し
て法人税は
一旦このね
税率段階的に上がっていくんやけどまぁ
ほぼほぼ一定なんですよ一つラインがある
としたら800万
利益が800万の段階で
税率が23%から33%に上がるというね
これ10%ぐらい上がるこの
階段が1個あるぐらいであとは800万
これとずっと33%ぐらいなんですねよく
ね法人税ってなんか15%とか23.3%
とかってよく言われるんですけどあれね
法人税の国税だけの話を言ってるんであっ
て法人税が15%あってめっちゃ安いと
思う
国税だけを言ってて法人税には実は国税も
あれば地方税もある法人県民税とか法人
市民税とかあるんですよあと法人事業税と
かもあるんですよそういうのひっくるめる
と

だから国税の15%とかああいうのとは
ちょっと無視してください法人税全部
ひっくるめると23%で800万ボルト
33%ここが言ってた900万の話
400万の話があるんですよこれここここ
これ何かって言うと個人の所得が900万
を超えると
税率が33%から43%になる10%
上がるこの33%ってのがミソでこっちも

超えたら一気に43%になるのかっていう
と全然違って超えた部分900万を超えた
部分だけ43%になるあそういうことなん
ですつまり例えば1000万だったら
900万を超えた100万円だけが43%
になるんで1000万全部43万になる
わけじゃないですね超えた分だけが43%
こっちも同じ例えば会社の利益が
1000万だったら1000万まるまる
33%になるのかっていうと違って
1000万のうち800万超える
200万円部分だけが33%になる
800万円の中でも400万円まで21%
で400万から800万までのこの
400万円部分だけは23%超える部分
だけが段階的に上がっていく所得税も同じ

かかるのかっていうと超える部分だけが

給料の900万円売ってるわけじゃない

所得が900万円所得と給与の違いわかる
わからないですわからないよねみんな
イコールやと思ってるけど全然イコール

贈与の額からいろんな所得控除とかを引い
た残りが所得
手取りってやつですか
手取りに近い部分はあるけど例えばね所得
税計算するときに
基礎控除っていうのを全国民にあるんです
よ48万とか別にこれって給料から48番
引かれるわけじゃなくて所得税を計算する
ときだけ所得48万引いてあげましょう
ねっていうのがあるんですねだから別に
手取りが減るわけではない手取りが減ら
ない所得いっぱいあるそういうのも含めて
ちょっと解説したいと思うんですけど
900万ぐらいの所得の人ってじゃあ給料
いくらぐらいの人かっていうとこれ個人差
があるんで一つのデータと思ってください
月100万円以上もらう人

1,280万の人って
給与所得控除っていうのがこれ
認められてるんですけど
1280万円195万円給与所得控除って
いうのが認められてるんですねあの給与の
額によってこの額変わるんですよ
計算式があって
1,280万の人は
195万9000を控除してもいいですよ
と所得控除は認められる1280万円の人
の厚生年金71万円
ざっくりですか71万で健康保険だいたい
65万ぐらいかかるんですよこれも所得
から引けるんですよね
給与から引いてる所得控除の1つなんです
よ社会保険料控除って言うんですけど
さらにさっき言った基礎控除これ全国民に
認められてる基礎控除というのが48万
認められるなんで
給与から引ける所得控除って最低でも給与
所得控除社会保険料控除基礎控除っていう
のがあるその他にも個人によっては生命
保険料控除とか小規模企業共済の控除とか
医療費控除とか
扶養控除配偶者控除とかいろいろある人も
いるけど今回はシンプルに
給与所得控除を社会保険料控除基礎控除
だけしかないとした場合これ諸々引くと
所得900万くらいになるだから
1280万の人がいろんな所行控除を考慮
すると最初所得は900万円
ここのラインの人っていうのは
1280万円の人だと思ってくださいはい
じゃあ
1280万の人はもうこれ以上
給料もらわない方がいいのかどうかって
いう話なんですけど1280万の人の所得
税のちょっと計算しました所得税146
までです住民税91万円この人1280万
の給料もらっても社会保険と所得税と住民
税引くと最初手取りね907万円
給料の人は手取り907万円所得900万
までで抑えた方がいい人はもう手取り
907万円から増えないってことです
税率だけを見るとそれでいいと思いますで
例えばね会社に利益が3000万ぐらいで
利益が出そうだと3000万ぐらい出て
そのうち役員報酬としていくら取るのか
所得900までで抑えたいから1280万
は役員報酬としてもらおうと残りの
約
1700万1700万は法人の利益
こそっていう考え方は
税率のことだけを考えればありなですけど
僕の考え違うんです僕はこんな900万を
関係なくもうどんどん取った方がいいと
思ってる

僕は2000万手取りでもらう方を優先
する1500万ぐらい社会保険の税金取ら
れるけどね取られるけど2000万ぐらい
で取れる
こっちの人よりも1100万ぐらい多い
じゃないですかこの多くもらった分で僕は
ひろし資産運用とかするんですよ
1300万ぐらいにして残りは法人にする
とこっち法人3000万利益残したら3分
の1税金取られるんで
税金1000万ぐらいですよね
税金がそうすると2000万円
税引き後利益が残るわけですこういう状態
は10年繰り返したら2000万が10年
やと2億円でしょ2億円利益が蓄積されて
いくの
ゼリーの利益は蓄積されてくるそれって何
になるかっていうと株価になるんですよ
自社株の価値がどんどん2億円上がるわけ
よ10年でもちろん株価ってなんか細かい
計算式やって若干下げることもできるん
ですけども
ざっくり言うとそんだけ株価の価値が
上がるこれは20年続けば4億になるわけ
よすごいですねこれを事業承継しようと
思って
息子とか社員とかに
株を譲るとなったら例えば20年経った時
に4億の株を
買ってもらうことなんてできないじゃない
ですか

そうしたらただであげたらどうなるかって
いうと
贈与税かかるんですよ半分以上それで
かかるじゃん
55%なのだから4億の価値のある株を
渡したら2億以上の
税金がかかる個人にかかるんです

承継する時に結局できなくなるんですよ
もう税金が多額に発生するんですよ増税と
か買ってもらったら税金は多少されるん
ですけどじゃあ買おうお金があるのかって

結局それもできないんで事業承継の時
めちゃくちゃ問題になる僕みたいに最低限
の800万の利益で抑えて

ぐらいかかるとしましょう600万じゃ
ないですかしたら10年経ったら
6000万20年だったら1億2000万
それでも結構1億2000まで大きいよね
でも1億2000万ぐらいだったら
退職金でガツンて最後落とすことができる

退職金を払うことによって僕にね
退職金払うことによってこの利益を一気に
下げることができるというね株価対策
できるけど4億まで膨らんだやつを退職金
でガツンてなかなか落とせないこの前別の
動画でもちょっと解説したけど
退職金が増税されるっていうね今そういう
流れがあるんで
退職金を使った
株価対策っていうのが今後できなくなる
可能性がだからなんか最後退職金でガツン
てなんか株価下げればいいわって思ってる

に頼らずもらえる時にもらった
銀行の借り入れたけど借りる時に借りる

お金も多くなってくるし年収が2000万
ぐらい行くとちょっと良い資金がだいたい

2000万3000万もいってないうちに
資産運用になってやってたらもうずーっと
お金なんて増えない2000万3000万
人まずして
余剰資金で資産を売るだからもらえる時に
もらって多少税金高くても手取りは増える
んでもらってそれで資産運用して資産運用
の自立で20%なのでそれで増やしていく
とそっちのはトータルな資産運用で増えた
税金はどんだけスタ運用で増えても税率
20%なのでそっちで増やす仕組みを作っ
ていくんですよね今のうちに手取り多くし
てじゃあねもう極端な話この会社1億円
ぐらいでできてますと1億円ぐらい見えて
います所得900万で抑えて9秒1,28
まで抑えるから残り8700万ぐらい会社
の利益でやったところでどうするのって
いう話そうですね
こっちです資産かっていう話もあるけど
こっちで資産運用は前日33%売却

会社を大きくするだけの使い道はもちろん

ならお金を残しておくっていう手もある

銀行から借りればいいんですよ設備投資

空港から借りてお金を作ってそれでどう
すればいいんで別に

最初に利益を残していいっていうか残す
目的は実は2つありますこの2つに該当
する場合は会社に利益残した方がいいそれ
は将来的に上場する場合上場する場合は
株価を上げていくことが上場で高値を
つけるまあ1つの手段なのでだから株価を
上げておくために利益を多くつけておくっ
ていうのはまず一つあとは上場しなくても
バイアウトとかM&Aでね自分の会社を
買ってもらう時も高く買ってもらいたい
じゃないですかその時も会社の利益が
多ければ高く買ってもらえる可能性は高い
だからバイアウトとかM1で考えてる人は
利益を残しておくっていうのはいいと思う
でも
利益残さなくても役員報酬ガッツリ取っ
てれば高く売れるんですよ
これ一つの売却する時の査定基準のひとつ
なんですけど会社の利益って役員報酬次第
でいくらでも変わるんですよね例えば
1億円の収益力のある会社だったとし
ましょうそうしたら役員
報酬を9000万取れば1000万しか
利益残らないじゃないですかでも役員報酬
が逆に1000万なら9000万円残るよ

どっちが収益力のある会社かって言ったら
一緒なんですよ確かにそうですね役員

あって会社を売る時っていうのは役員報酬
の額も含めて査定されるんで

3000万ぐらい取ると手取り1800万
ぐらいで3500万だと2000万ぐらい
ねで4000万取ると
2300万ぐらい5000万だと
2770万円
税率は上がっていくんでね引かれる額も
大きくなってくるけどこれぐらいでもね
907万円じゃあ何もできないっすよ
全然個人の資産増えてこないです個人の
資産を増やすなら
3万4000万5000万円と税金高く
なっても通りどんどん増やしててください

会社に利益が出た時に役員報酬給料として
取るのか法人に残した方がいいのか

たいなら別に法事に残してもいいと思い
ますけどもう900万円なんて気にせずに
お金を増やしたいならもう役員報酬取っ
ちゃってください逆に会社に残すと
将来事業承継の時にガッツリ税金取られ
ますそのことも考えてね何で会社に残さ
なきゃいけないのかっていう目的ね
将来の目的も考えて会社にいくら残すのか
ちなみに僕は
将来会社に残すメリットなんて全く僕は
ないと思っているので800万までで毎年
抑えていくと
設備投資したいと別に銀行から借りて設備
投資すればいいんで別に利益でお金を残す
必要もないかなとは思います会社を本当ね
100億企業1000億企業にしたいと
いう人ならまあ会社にもねある程度残さ
ないといけないかもしれないですけど
