這個殼王的意思就是

這種上市公司的目的

並不是用來做實業的

而是資本利用這個上市公司的名號

用盡各種騰挪轉移的招數

去提高它的市值

最後以高價出售這家公司

換句話說

它就是拿來圈錢和割韭菜用的

在短短10年之內

萬家文化已經有了幾次

被賣殼的經歷

在資本熱炒的礦業

房地產、互聯網、電競

等各種互不相干的行業裡面

都滾了一圈了

公司每年的淨利潤

都不會超過5000萬元

有的時候賬面上甚至是虧損的

但並不妨礙萬家文化的市值

從20億元上升到了117億元

是絕對的奇葩公司

所以才被稱為「殼王」嘛

這又是中國資本市場裡的一個特色

萬家收購案的金額高達30.6億元

但趙薇夫婦自己只拿出了那個尾數

6000萬元來買殼

那剩下30億元哪來的呢

都是借來的

30億對6000萬

槓桿比例高達50倍

妥妥的空手套白狼

趙薇夫婦借錢有兩個主要來源

第一是西藏銀必信資產管理公司

簡稱西藏銀必信 借款15億

第二個來源就是通過金融機構

股票質押所融資的15億元

西藏銀必信的原名是上海銀必信

是「明天系」旗下的一家金融機構

所謂「明天系」

就是億萬富豪肖建華

所控制的一系列上市公司

和金融機構

這些公司的名字

都以「明天」兩字開頭

根據外媒報導

明天系是江澤民派系的

御用白手套

為江澤民家族和江系官員

操縱資本打理財產

肖建華的明天系

可以說是2010年代

中國資本市場上的巨鱷

旗下有4000多家空殼公司

據說能夠撬動萬億元的資產

雖然風光一時無兩

但是也沒得善終

在習近平發起反腐運動之後

肖建華在2017年

在香港的四季酒店被秘密帶走

於2022年在中國被判刑13年

明天系集團被罰款550億元人民幣

趙薇夫婦收購萬家的第二個資金來源

通過金融機構股票質押

融資到了15億

市場專家猜測

被拿去質押的股票

很可能就是趙薇夫婦

還沒有拿到的

萬家文化公司的股權

這就叫槓桿收購

用還沒有到手的東西

就抵押出去 獲得貸款

再用這筆貸款來買進這樣東西

手腕很高超吧

所以才說這筆交易

就是妥妥的空手套白狼

趙薇夫婦出資6000萬元

西藏銀必信出資15億

只要在銀行裡面走一下賬

也沒有任何花費

就坐等萬家文化的股價上揚

然後再脫手

就能賺個盆滿缽滿

那簡直比高利貸還省心

簡直就是現實的聚寶盆

由於操縱套利的痕跡過於明顯

也由於趙薇的人氣

在這裡起了反作用

就讓這起收購案

引起了社會的廣泛關注

終於在2017年

萬家文化收購案

被中國證監會叫停

媒體和輿論都對趙薇夫婦

指責聲四起

但是兩個人只受到了很輕的處罰

證監會對龍薇傳媒

處以60萬元的罰款

對趙薇和黃有龍本人

分別處以30萬元的罰款

並且禁止他們5年之內

進入證券市場

資本市場雖然不能再涉足了

但是趙薇的老本行卻不受影響

她依然活躍在影視界

只不過她自己不演戲了

而是自己開媒體公司

推出自己旗下的藝人

以及投資自己喜歡的影視作品

但是這一切卻在2021年8月份

戛然而止

趙薇旗下的藝人

剛剛走紅的張哲瀚突然被爆出

在日本靖國神社附近拍照

立刻就引來了全網的攻擊

而他的老闆趙薇

則被官媒點名批評為劣跡藝人

也被全面封殺

趙薇所有參演過的作品

在演員表上都被除名

拍好的戲也被全面換掉
